The NC has written terms of reference that describe its responsibilities, which include maintaining an effective Board and
ensuring that only competent individuals capable of contributing to the success of the Company are appointed. Where
new appointments are required, the NC will consider recommendations for new Directors, review their qualifications and
meet with such candidates before decision is made on a selection. The NC also promotes transparency in the selection
and appointment of new Board members as well as their subsequent re-nomination/re-election.
The duties and responsibilities of the executive directors are clearly set out in their service agreements.
