We, Ng Kin Wing, Raymond, and Ng Yuk Wing, Philip being two of the directors of Karin Technology Holdings Limited,
do hereby state that, in the opinion of the directors,
(i)
the accompanying consolidated and company statements of financial position, consolidated statement of profit or
loss and other comprehensive income, consolidated statement of changes in equity and consolidated statement
of cash flows together with notes thereto as set out on pages 47 to 114 are drawn up so as to present fairly,
in all material respects, the financial position of the Company and of the Group as at 30 June 2015 and of the
results of the business, changes in equity and cash flows of the Group for the year then ended, and
(ii)
at the date of this statement, there are reasonable grounds to believe that the Company will be able to pay its
debts as and when they fall due.
